| Throughout his professional career, Mr. Gagliano has
represented and has served on the governing boards for numerous not-for-profit
corporations and private foundations. We represent tax exempt organizations
of all sizes in a wide range of legal matters. In a number of instances,
we also act as general counsel to such organizations. We are familiar with the special issues and significant challenges facing nonprofits, and are committed to helping our clients fulfill their organizational missions. We have experience counseling a wide array of not-for-profit organizations, including hospitals, voluntary health organizations, schools, performing arts charities, religious organizations, social service agencies, private foundations and other not-for-profit entities. We frequently begin our relationship with not-for-profit clients by orchestrating their incorporation and drafting their startup documents. We assist in obtaining both federal and state tax exempt status. We attend board meetings and help coordinate corporate governance. Our services include the review of conflicts of interest, drafting indemnification policies, providing advice regarding gifts/bequests, seeking government/private grants, and contract/joint venture negotiation and drafting. We help guide our not-for-profit clients through complex human resource issues by negotiating and drafting management employment agreements, participating in collective bargaining negotiations and representation elections, and providing general guidance on employee disciplinary matters and internal investigations. We apply our extensive intellectual property knowledge and expertise in order to assists not-for-profits in the protection of confidential trade secrets and in the procurement, protection and licensing of trademarks, copyrights and other intellectual property. |
